GTLD Marketplace — Platform Terms of Use
DRAFT | Version 1.0 | Prepared 21 October 2026 | Not in force until authorised approval and publication
1. Operator and scope
The GTLD Marketplace ("GTLD", "the Platform", "we", "us") is operated by ZAGRAN LTD, a private limited company registered in England and Wales under number 16334360 at 82a James Carter Road, Mildenhall, West Suffolk, IP28 7DE, United Kingdom. Published UK VAT registration number GB509552777, subject to independent confirmation before live use. Contact: admin@gtld.name. GTLD is a trading/platform name, not a separate incorporated seller or a bank.
These Terms govern account access, domain listings, enquiries, notifications and platform functionality. A seller additionally enters into the Seller Agency Agreement. A buyer who purchases domain registration rights additionally accepts the Buyer Purchase Terms and the applicable transaction-specific order summary. The Privacy Notice, Verification Policy, Cookie Policy, Complaints, Refunds and Disputes Policy, Acceptable Use Policy and Electronic Signatures Policy explain related matters. Where documents conflict, mandatory law prevails; transaction-specific confirmed terms take priority for the relevant transaction, followed by the role-specific agreement, then these general Terms.
2. Nature of services and parties
The service lists domain name registration rights offered by third-party registrants. Unless expressly and prominently stated otherwise for a separate, approved transaction, the identified seller, not ZAGRAN LTD, supplies and transfers the domain registration rights to the buyer. GTLD is appointed by each verified seller as that seller's disclosed commercial agent, with contractual power to negotiate and conclude sale agreements only within the seller's authorised price and conditions. GTLD does not accept appointment as a buyer's commercial agent. GTLD provides marketplace functions and reasonable administrative assistance to both parties, but does not represent the buyer in purchasing.
Control or registration of a domain is not ownership of a perpetual item or a trademark. Rights and transfers remain subject to applicable registry/registrar policies, DNS infrastructure, administrative holds, dispute policies and renewal obligations. A listing labelled "Project" describes current use; the transaction transfers the domain registration right only. It does not include website content, databases, customer data, logos, trademarks, hosting, social accounts, intellectual property or operating business assets unless a separately reviewed express agreement lists these assets.
3. Eligibility, accounts and authority
Users must be at least 18 years old and legally able to enter contracts. They must give true, current legal names, country and contact details, keep credentials secure and notify us promptly about compromise or material changes. Persons acting for organisations warrant they are authorised to act and sign for the organisation, and provide evidence on request. Users may not disguise beneficial ownership, impersonate others or use a third party's payment/settlement account without permission. Accounts may be paused for identity, domain or compliance review; appeals are available through our complaints contact.
GTLD may request appropriate seller or buyer checks, including email validation, proof of identity/business authorisation, sanctions screening by an approved provider and verification of payment-account ownership. We do not publish private identity documents or use DNS verification as proof of legal title. Checks are risk-based and do not guarantee a party's honesty or solvency. Users must not circumvent checks.
4. Listing, offers and formation of contracts
Listing a domain is free. Posting a listing does not itself form a purchase contract. Prices, renewal information, premium registry status and dates can be seller-declared or derived from third-party data; authoritative current prices/expiry must be checked with the registrar/registry. GTLD may reject, amend on seller instruction, suspend or remove a listing if data are missing, control changes, rights are disputed or legal concerns arise. We will explain a material restriction where legally and operationally possible.
For a fixed-price listing, the buyer submits an order with immutable domain and displayed price; no contract is completed merely by clicking "Buy" unless the designated agent confirms acceptance under the seller's authorised mandate. For an "Enquire" listing, an enquiry is not a binding purchase. A separate acceptance page records the agreed domain, current registrar, taxes/fees, transfer timetable, identity of seller/trader status, transfer conditions and price before either side becomes bound.
5. Pricing, VAT and agent's success fee
The fee for listing is £0. The agreed GTLD fee to the seller on a successfully completed transaction is 15% of the agreed domain sale price; this 15% includes UK VAT on the fee if chargeable. Example: gross domain price £1,000; agent fee £150, of which at 20% VAT the net service fee is £125 and VAT £25; estimated seller balance £850 before any separately disclosed third-party transaction costs or legally required adjustments. The exact sale price, VAT treatment, payment-provider charges (if any), person bearing them, currency conversion and transfer fees must be made clear before order acceptance.
A seller's supply of a domain and GTLD's agency service are separate transactions for contractual purposes. This contractual distinction does not decide the VAT position by itself. In particular, some electronically supplied services through marketplaces are treated differently under HMRC rules. GTLD and sellers must follow the VAT treatment determined for their actual roles, counterparties and countries. We will not add VAT to the advertised "15% inclusive of VAT where applicable" fee a second time. A business seller is responsible for appropriate tax information and invoices unless GTLD is legally required to account for tax on an underlying supply. Customers will see the applicable inclusive total price (and available breakdown) before payment.
Each user remains responsible for their own taxation, returns and declarations under applicable law. GTLD does not promise tax anonymity; it may supply information to authorities where legally required and complies with tax duties applicable to GTLD.
6. Payments and role of third-party providers
Payment and disbursement are conditional on a properly contracted and authorised payment solution. GTLD does not claim to be an FCA-authorised payment institution, a regulated escrow service, deposit taker or financial custodian. We do not offer deposits, interest or a stored-value wallet. GTLD will provide payment instructions and disclose provider identity/terms only after the integration and payment model are approved; buyers must never send money to an unverified account or pay outside the platform's confirmed flow. The actual provider's terms, supported countries, delays and refunds may also apply.
Transaction stages shown in dashboards are informational. "Paid" or "funded" requires validated independent provider confirmation, not a screenshot, email promise or administrative guess. GTLD may reasonably hold or pause the administrative transfer workflow during fraud, sanctions or rights disputes; any financial delay or freeze is performed only where allowed by law and the provider's actual agreement. An estimate of a seller payout is not confirmation of receipt or entitlement to funds.
7. Domain transfers and completion
The seller must maintain registration, prevent expiry and be ready to provide accurate registrar transfer details promptly. Buyers must provide a compatible registrar account and respond to legitimate verification and transfer communications. ICANN gTLD and ccTLD rules may restrict transfers, including transfer/registrant change locks, court orders and disputes. Do not send authentication (EPP) codes through public chat or unencrypted email; use an approved secure channel.
GTLD uses independent registrar/registry evidence where reasonably available, including RDAP data and confirmation by both parties. A DNS TXT/CNAME check confirms technical control at that moment, not legal title or freedom from trademarks, liens or disputes. Completion, payouts and dispute handling follow the separate role-specific contract, confirmed transaction schedule and provider permissions.
8. Prohibited listings and conduct
Users shall not list stolen, hijacked, expired, inaccessible, restricted, sanctioned or disputed domains without fully disclosing the issue; misrepresent premium renewal fees, trademark rights or transfer eligibility; engage in cybersquatting, impersonation, phishing, malware distribution, money laundering, chargeback fraud, price manipulation, shill bidding, account-sharing or circumvention of sanctions and controls. GTLD may investigate, request evidence, remove listings, restrict access and, where required, make lawful disclosures. Full rules: Acceptable Use Policy.
9. Accuracy; no guarantees
We take reasonable care in administering the platform, but user statements, RDAP/WHOIS information, domain ages, renewals, registry-premium classifications, price estimates, sale completion dates and third-party services can change. Users should verify material facts before contracting. GTLD does not guarantee that any listing will sell, that transfer is always possible, that domains do not infringe a trademark, that a particular future renewal price is fixed, or that all disputes will be eliminated. No clause excuses GTLD's own failure to use reasonable care and skill where required by law.
10. Consumer protection and remedies
If a buyer is a consumer, mandatory consumer rights may apply according to the seller's trader status, the characteristics of the transferred rights, the location of the parties and applicable laws. No blanket "no refunds", "no cooling-off period" or "all sales final" clause overrides those rights. Any requests for immediate transfer, any legally required cancellation information and any separately required consent/acknowledgement will be collected before beginning performance. See Buyer Purchase Terms and Complaints, Refunds and Disputes Policy. We do not automatically classify all domains as downloadable digital content.
11. Platform communications and records
Notices can be delivered via the account dashboard and verified email. Users must check notices relating to purchase deadlines and transfer requirements. Messages may be archived by a user, but archived messages remain in their account record and administrator evidence log, subject to data-retention rules. An archive action does not cancel an obligation or delete transaction evidence. Material contractual agreements are emailed or made available in a durable form after acceptance.
12. Liability, legitimate claims and third parties
We do not exclude or limit liability where unlawful to do so, including death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and non-excludable consumer rights. To the extent permitted by applicable law, GTLD is not responsible for third-party registrar/registry decisions or inaccurate seller statements where the loss was not caused by GTLD's breach. For business-to-business transactions only, and subject to legal review and applicable reasonableness tests, any agreed cap for ordinary direct contractual damages is proposed at the greater of the GTLD fees paid in relation to the affected transaction or £500, excluding liability that cannot lawfully be capped; this proposal must be approved before publication. The Platform does not prevent courts from deciding liability fairly.
Users must not knowingly submit material infringing others' rights. Sellers agree in their separate agreement to reimburse GTLD for reasonably foreseeable direct losses caused by the seller's proven wrongful ownership claims or materially false information, insofar as permitted by law and subject to fair process; this is not a blanket indemnity for GTLD's negligence or consumer rights.
13. Complaints, governing law and disputes
Contact admin@gtld.name with the domain, transaction ID and relevant evidence. We will acknowledge and review complaints under the published policy. The law of England and Wales generally governs the Platform Terms, subject to non-excludable protections available to consumers in their country of habitual residence and mandatory law. Courts of England and Wales will have jurisdiction where lawfully agreed; we do not remove a consumer's right to seek remedy in any court made available by mandatory law.
14. Changes and evidence
The terms version and approval date appear at the top of this page. We will keep archived versions and acceptance evidence. Material changes are communicated in advance where practicable and generally bind only future transactions or after a new affirmative acceptance where required. We do not retroactively rewrite accepted deals. Click-based agreement requires an unticked consent box, clear affirmative action, role-specific signatory details and an emailed/downloadable copy. The privacy notice is a notice, not a contractual rights-waiver checkbox.
