GTLD Buyer Purchase and Transfer Terms
DRAFT | v1.0 | Human legal review required
1. Counterparties and seller disclosure
A domain is sold by the named, verified Seller shown in the transaction confirmation. GTLD Marketplace is operated by ZAGRAN LTD (Company No. 16334360, VAT GB509552777 published, verification pending) and acts as Seller's disclosed commercial agent only; it is not automatically the buyer's seller, agent, deposit-holder or guarantor. Buyer may contact GTLD at admin@gtld.name. We disclose whether the Seller has self-declared and, where feasible, been verified as a trader/business or private/non-trader, because this affects consumer protections. If trader status is unresolved, binding checkout is blocked pending review; do not present an unverified private seller as a business or vice versa.
2. What is being purchased
Buyer purchases the right to become the registered holder of the exact domain name in the confirmed order, through processes supported by its relevant registrar/registry. The acquisition does not include unlimited property rights, trademark rights, a website, content, brand identity, seller customer databases, ongoing hosting, a guarantee of search-engine rankings or a permanent renewal price. Registries and registrars have their own terms, renewal cycles and possible premium pricing. Buyer must accept registrar registration terms before completing transfer.
3. Order summary, VAT and fees
Before acceptance, checkout displays and buyer confirms: immutable domain/punycode if internationalised, current registrar, exact price and currency, Seller identity/trader status, whether Seller is VAT-registered, the total payable including any applicable taxes and compulsory fees, currency conversion terms (if known), transfer method/timing, registry-premium renewal warning, material transfer restrictions and link to all legally applicable terms. GTLD commission is charged to Seller, ordinarily 15% inclusive of VAT when VAT chargeable on the agency fee; a Buyer must not be told that VAT is charged only on that fee if seller-side/domain supply VAT applies. Actual tax treatment depends on roles and law, including deemed-supplier rules for certain digital services.
The buyer's enquiry is non-binding. A fixed-price purchase becomes binding only upon clearly identified final acceptance by GTLD within an effective, seller-signed mandate and buyer's positive confirmation, subject to legal payment go-live gates. Where mandate limits prevent acceptance, Seller must sign the specific offer before contract formation. The interface must distinguish `reserve`, `offer`, `binding order`, `payment initiated`, `provider-confirmed funded`, and `transfer complete`.
4. Verification and compliance
Buyers must be aged 18+, use their actual legal identity and verified email, and complete proportionate personal/corporate identity and authority checks when required before concluding purchase. We may ask for evidence needed to detect impersonation, stolen payments or sanctions violations. We may pause or refuse transaction for credible legal, security or payment concerns subject to law and fair treatment; buyers can request human review. We do not store full card numbers or CVV. Payment is handled solely through a properly approved provider via a secure redirected or embedded hosted flow.
5. Payment
Buyer must only pay following a confirmed checkout instruction using the named provider; do not trust email requests to send funds to unrelated personal accounts. A transaction is not paid merely because the Buyer uploads a receipt or the Seller claims to have received funds. Any provider-confirmed status is generated by verified webhook/reconciliation. Provider chargebacks, reversals, card disputes, local currency restrictions and fees may affect transaction procedures. Platform does not promise that money is held in a licensed escrow account. The operational settlement protocol and any conditions for financial release require prior legal/PSP sign-off.
6. Transfer and acceptance
Buyer must provide correct destination account/registrar data, keep account secure and cooperate with any transfer authorisation or registrar verification. Seller must provide the transfer at the agreed time in compliance with registry/registrar rules. GTLD can mediate progress and document independent evidence; no unilateral transfer or release should occur on the basis of chat statements alone. ICANN and country-code transfer policies may impose locks, delayed approvals or rejection. Some transfers change registered holder within the same registrar; an external transfer is not always possible at once. Both sides must promptly report substantive title or completion objections.
7. Cancellation rights and refunds
Where a buyer is a consumer contracting with a trader, applicable cancellation and other statutory rights depend on the legal character of the domain-registration right and supply, the seller's business status and relevant UK/foreign law. We will provide the specific legal cancellation notice before any binding transaction. We will not show generic "all sales final" or pre-ticked waiver. If legally appropriate to begin any service/digital-content performance within a cancellation period, separately obtain expressly required consent and acknowledgement with its own audit record only after a solicitor confirms which statutory regime applies. Absent that clearance, no irreversible transfer should be initiated within any applicable withdrawal window without an approved compliant method.
A private-to-private sale does not automatically have the same UK consumer cancellation rights as a trader-to-consumer sale; fraudulent misrepresentation, title problems and mandatory rights remain actionable where applicable. Funds and repayments are governed by actual provider capability and applicable law, not a fictional internal refund toggle. Complaints, Refunds and Disputes Policy controls support procedures without depriving users of legal remedies.
8. Buyer acknowledgements and lawful conduct
Buyer understands a domain is renewed at an external registrar, that registry-premium renewal charges can be substantially higher than standard renewals and must be checked before accepting price. Buyer must not use purchased domains for unlawful activities or violate sanctions. Buying a domain does not itself assure freedom to use any trademark or brand. Buyer must disclose a suspected domain hijack or material misdescription promptly and provide supporting records.
9. Standards and responsibility
GTLD undertakes to exercise reasonable care and skill in services it provides. Seller remains responsible for accuracy of Seller's ownership representations and fulfilling Seller's contractual transfer obligations. No terms exclude non-excludable consumer rights, GTLD fraud or negligence causing death/personal injury. GTLD's role does not guarantee all domains or payments against every third-party act. Disputes are handled by a transparent process with escalation and external legal rights intact.
10. Contract evidence and jurisdiction
The interface provides the buyer with a readable/saveable version of the final order and the terms before final acceptance. The buyer positively clicks a labelled "Confirm purchase and obligation to pay" control only once payment operations are legally enabled, and signs the transaction-specific order when required. We send a durable confirmation by verified email and retain legally proportionate signed evidence. England and Wales law applies to platform contractual rights except mandatory rights that protect a consumer under another applicable jurisdiction. We do not remove mandatory consumer access to their competent courts.
Buyer signing text (checkbox off by default):
"I am the Buyer or an authorised representative of the Buyer. I confirm the precise domain, Seller identity and trader status, all displayed taxes and total price, and transfer/cancellation information; I accept the Buyer Purchase Terms and applicable transaction schedule and agree to electronic contracting. I acknowledge that ZAGRAN LTD acts as the Seller's commercial agent and not as my agent."
